Terms of Service & HSE Disclaimers

Please read these terms carefully before generating commercial Risk Assessments or Method Statements using the RAMSMate platform.

01. Acceptance of Terms

By accessing, creating an account on, or generating safety documentation via RAMSMate ("Service", "Application", or "Platform"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you must not use our software.

These terms constitute a legally binding agreement between you (or the company/trade entity you represent) and RAMSMate.

02. Accounts & Access Security

To unlock unlimited PDF exports, audit logs, and digital signature features, you must maintain an active contractor profile.

  • You must provide true, accurate, current, and complete registration details.
  • You are solely responsible for maintaining the confidentiality of your credentials and multi-user access permissions.
  • RAMSMate reserves the right to terminate accounts that attempt reverse engineering or abusive bulk scraping of our proprietary hazard databases.

03. Billing, PAYG Credits & Subscriptions

RAMSMate operates on both a Pay-As-You-Go (PAYG) single-document transaction model and monthly/annual recurring subscription plans:

  • Free Lite Tier: Watermarked PDF generation for personal evaluation. Not recommended for commercial client handover.
  • PAYG (£15 per document): Single non-watermarked document generation license.
  • Pro Monthly (£24/mo) & Business Annual (£199/yr): Unlimited watermark-free PDF generation, custom company logo uploads, and persistent profile caching.

04. HSE Safety & Liability Disclaimers

Airtight B2B Liability Exclusion

RAMSMate is an administrative documentation tool, not a health and safety consultancy. All statutory and non-delegable duty of care remains with you as the employer or contractor.

No Duty of Care or Site Inspections: You explicitly acknowledge that RAMSMate does not perform site inspections, physical risk evaluations, or individual method assessments. The hazard checklists, risk levels, and suggested control measures provided in our database are illustrative template shells. They must be individually vetted, updated, and approved by your own qualified health and safety representative.

Formatting and Templating Software Only (The "Software Pen" Doctrine): You explicitly acknowledge and agree that RAMSMate is strictly a formatting and templating software tool. We are selling a digital formatting platform (a "software pen"), not professional health and safety advice. The compiled outputs, including hazard selections and method statements, are generated entirely by user selections and input sequences. RAMSMate does not verify, validate, or recommend any specific risk mitigations, safety steps, or compliance suitability.

Employer's Non-Delegable Statutory Duties: Under the Health and Safety at Work etc. Act 1974, the Management of Health and Safety at Work Regulations 1999, and the Construction (Design and Management) Regulations 2015 (CDM 2015), all statutory, regulatory, and common law duties of care to ensure the safety of employees, sub-contractors, and members of the public remain solely and exclusively with the employer or primary contractor using the platform. Use of this platform does not satisfy, transfer, or mitigate these non-delegable legal responsibilities.

Absolute Exclusion of Liability: To the maximum extent permitted by applicable law, RAMSMate, its owners, operators, developers, and stakeholders shall not be liable to you, your company, your employees, or any third party for any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to:

  • Physical injuries, illnesses, accidents, or fatalities occurring on any work site.
  • Prosecutions, enforcement notices, regulatory investigations, or fines issued by the Health and Safety Executive (HSE) or any other regulatory body.
  • Loss of profits, business interruption, loss of reputation, or contract delays resulting from the use or inability to use compiled documentation.
  • Inaccuracies, omissions, or errors in generated Risk Assessments, Method Statements, or PPE checklists.

Indemnification Covenant: By compiling documents or utilising our service, you agree to fully indemnify, defend, and hold harmless RAMSMate, its owners, operators, developers, and agents from and against any and all claims, actions, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from on-site incidents, HSE regulatory audits or prosecutions, or your breach of statutory health and safety obligations.

Absolute Cap on Liability: Without prejudice to the foregoing exclusions, in the event that RAMSMate is found liable by a court of competent jurisdiction under any cause of action, your sole remedy and our maximum aggregate liability in contract, tort (including negligence), breach of statutory duty, or otherwise shall be strictly capped at the total amount actually paid by you to RAMSMate in the twelve (12) months preceding the event giving rise to the claim.

05. Intellectual Property & Licensing

All active software logic, dashboard layouts, custom trade databases, security routines, and brand marks are the exclusive property of RAMSMate.

User Licence: When a user upgrades or pays for a single compilation, RAMSMate grants a non-exclusive, perpetual, worldwide licence to distribute, print, host, and present the resulting completed PDF document for legal compliance, bidding processes, and on-site HSE checks. You may not resell the compiled database structures or build competing applications.

06. Governing Law & Disputes

This agreement, operational guidelines, and all related database access are governed exclusively by the laws of England & Wales.

Any dispute, legal proceedings, or regulatory actions arising from these terms or your use of the RAMSMate platform shall be resolved within the exclusive jurisdiction of the courts of London, England.
